BNP Paribas Cardif Buys 26% Stake in IndiaFirst Life

Int’l Desk: French insurer BNP Paribas Cardif is set to return to India’s life insurance sector after nearly five years by buying a 26 percent stake in IndiaFirst Life Insurance from private equity firm Warburg Pincus. The transaction, reported by The Economic Times, puts an approximate value of ₹10,000 crore on the Bank of Baroda controlled company and marks a notable foreign capital infusion into one of the country’s mid-sized private life insurers.
According to details shared in the stock exchange filing by Bank of Baroda and confirmed by the parties involved, Warburg Pincus held the stake through its investment vehicle Carmel Point Investments India. Once the deal closes, the ownership structure will settle at Bank of Baroda with 65 percent, BNP Paribas Cardif with 26 percent and Union Bank of India with the remaining 9 percent. Bank of Baroda will continue to hold management control and its majority position remains unchanged.
BNP Paribas Cardif had earlier been a partner in SBI Life before exiting that relationship around 2019. The fresh move signals renewed confidence in the Indian market, which continues to draw global insurers because of rising incomes, expanding middle class demand for protection products and still relatively low insurance penetration. IndiaFirst Life ranks as the twelfth largest private life insurer in the country and has been building its presence through a mix of bancassurance and other distribution channels.
Executives from the companies involved described the partnership as a natural fit. Pauline Leclerc-Glorieux, chief executive of BNP Paribas Cardif, said the deal supports the group’s strategy of working with strong local institutions in markets that offer long term growth. Bank of Baroda’s managing director Debadatta Chand noted that the bank already has a joint venture relationship with BNP Paribas in asset management and sees the insurance collaboration as an extension of that trust. Warburg Pincus’s India private equity head Narendra Ostawal highlighted the progress IndiaFirst Life has made during the firm’s investment period and expressed confidence that the new shareholder will help push the next stage of expansion.
The parties plan to combine Bank of Baroda’s extensive branch network, IndiaFirst Life’s existing multi-channel capabilities and BNP Paribas Cardif’s experience in bancassurance and product design. The agreement remains subject to the usual regulatory clearances from Indian authorities. Once completed it is expected to give the French insurer a meaningful foothold in a sector that has attracted several other overseas players in recent years.
